# HVAC Exit Checklist: 12-Month Roadmap to Sale (2026)

This is the operating checklist we run with HVAC owners 12 months before going to market. The objective of this list is not "hit every box." It is to identify the three to five items where 12 months of focused effort delivers a measurable multiple step. The highest-impact items in each section are listed first.

## 12 months out: financial-records hygiene

- **Migrate to ServiceTitan, Housecall Pro, or FieldEdge** if you are still on spreadsheets or homegrown software. Buyers expect SQL-exportable data on customer cohorts, equipment installation history, and recurring-maintenance-agreement waterfalls.
- **Engage a Quality of Earnings (QoE) firm** (Aprio, Eide Bailly, or any boutique PE-experienced QoE practice) to produce a sell-side QoE report 6 to 9 months before going to market. The same methodology will be cited by every buyer's diligence team.
- **Move from cash-basis to accrual-basis accounting** if you have not already. Most institutional buyers will not accept cash-basis financials.
- **Standardize the chart of accounts** so revenue is segmented by category: residential service, residential maintenance agreements, residential install/replacement, commercial service, commercial install, new-construction.
- **Reconcile every bank account.** Eliminate unreconciled items. Document any owner-payable or owner-receivable balances.

## 12 months out: recurring maintenance-agreement documentation

This is the single biggest multiple lever. Buyers will model the maintenance-agreement book like a SaaS company. Prepare:

- **Maintenance-agreement waterfall.** For each of the past 24 to 36 months: starting active agreements, new agreements signed, churned agreements, ending active agreements.
- **Customer-cohort retention analysis.** Group maintenance-agreement customers by acquisition year. Show retention rate and revenue per customer per cohort.
- **Auto-renewal language audit.** Confirm contract language is enforceable. Some legacy maintenance agreements have no auto-renew clause and are technically year-to-year manual renewals.
- **Service-frequency mix.** One-visit-per-year vs. two-visit-per-year vs. quarterly contracts.
- **Payment-method mix.** ACH/auto-charge vs. invoice-and-check. Higher auto-charge percentage protects retention metrics.
- **Attach-rate trend.** What percentage of installation customers convert to a maintenance agreement at install time? Top operators run >50% attach.

## 9 months out: licensing and regulatory

- **License continuity plan.** State HVAC contractor licenses (CAC in Florida, RMP-equivalent designations in many states) typically must be held by a qualifier on staff post-close. Confirm whether your state allows the seller to remain qualifier during transition.
- **Workers' comp X-Mod review.** A clean experience modifier (under 1.0) is a small multiple lift. Above 1.2 is a flag.
- **EPA Section 608 certification rosters** for every refrigerant-handling technician.
- **OSHA citation history.** Document any citations in the past 5 years and remediation taken.
- **DOT compliance** for fleet over 10,001 lbs gross vehicle weight.

## 9 months out: technician and management depth

Buyers underwrite the team almost as heavily as the financials. The U.S. HVAC labor market is structurally tight, with **about 37,700 annual openings** projected through 2032 ([BLS](https://www.bls.gov/ooh/installation-maintenance-and-repair/heating-air-conditioning-and-refrigeration-mechanics-and-installers.htm)).

- **General manager or operations lead in place.** A non-owner GM running day-to-day removes key-person risk.
- **Field-supervisor depth.** Minimum 1 supervisor per 6 to 8 technicians.
- **Documented technician training program.** Onboarding checklists, ride-along protocols, NATE certification milestones, manufacturer training (Carrier, Lennox, Trane).
- **Compensation transparency.** Hourly + commission structure documented in the employee handbook.
- **W-2 vs. 1099 mix.** Most HVAC technicians should be W-2. A heavy 1099 mix invites IRS reclassification risk in diligence.
- **Average tenure schedule.** Headcount table by department with start dates, target retention >85% on field staff.

## 6 months out: operational data and KPIs

Buyers benchmark HVAC operators on a tight set of operational KPIs:

- **Revenue per service technician.** Target $700K+ for platform-quality.
- **Average ticket.** Target $1,500+ on residential service.
- **First-call close rate** on replacement-quote calls. Target 35%+.
- **Maintenance-agreement attach rate** on new installations. Target 50%+.
- **Service-call dispatch density.** Stops per technician hour, miles per stop.
- **Capacity utilization.** What percentage of technician capacity is currently filled? Buyers pay more when there is organic growth runway in existing routes.
- **Truck and equipment audit.** Documented fleet maintenance schedule, fleet age profile, planned capex.

## 6 months out: revenue concentration and customer mix

- **Top-10 customer concentration.** Above 15% is a flag; above 25% is a meaningful multiple discount. This is most often a commercial-customer concentration issue.
- **Geographic concentration.** Revenue by ZIP / county / metro. Buyers prefer balanced concentration over a single-county business.
- **Channel mix.** Direct organic, Google Local Service Ads, Angi, retail referral partnerships, manufacturer-partner co-marketing.
- **Lead-source concentration.** Diversification protects the multiple.
- **Service vs. install vs. new-construction mix.** Service-led shops trade higher.

## 3 months out: deal-prep and management presentation

- **Confidential information memorandum (CIM).** Drafted by your sell-side advisor. Include the maintenance-agreement waterfall, cohort analysis, route-density data, technician roster, and management-team profile.
- **Management presentation deck.** Slides for management meetings with shortlisted buyers. Include growth strategy, capex plan, and integration philosophy.
- **Anonymized teaser.** One-page summary distributable to buyers under NDA. Used to filter the universe before disclosing identity.
- **Buyer list.** Validated against our [HVAC buyer list](/resources/hvac-buyer-list).
- **Insurance review.** General liability, professional liability, auto, workers' comp - confirm policies are renewable and properly bound.

## At LOI signing: diligence preparation

- Last 3 fiscal years of financial statements + interim YTD
- Sell-side QoE report
- Customer schedule with revenue, tenure, and category
- Technician roster with EPA 608 / NATE / state license details
- Lease agreements for all locations and yards
- Top-25 maintenance-agreement contracts
- Insurance certificates
- HR file: handbook, comp plan, organizational chart

## The 25C credit cliff: why timing matters in 2026

The federal **25C Energy Efficient Home Improvement Credit** that drove a meaningful share of recent heat-pump and high-efficiency-system replacements **expired December 31, 2025** ([IRS](https://www.irs.gov/credits-deductions/energy-efficient-home-improvement-credit)).

Two implications for HVAC sellers preparing for 2026 to 2028 close dates:

1. **Pull-forward demand.** Some 2024 to 2025 replacement revenue was tax-credit-driven. Buyers will normalize that out of forward-projected EBITDA.
2. **Service revenue is now more important.** Without the credit tailwind, recurring maintenance and replacement-cycle revenue is what protects the multiple. Owners with diversified service-led revenue mix are insulated; pure-install shops are not.

If your business has been heavily install-driven and 25C-credit-enabled, the cleanest move is to spend 6 to 12 months strengthening the maintenance-agreement book before going to market.

## The clean takeaway

- **The 12-month checklist is mostly about recurring revenue.** A book at 40%+ maintenance agreements with documented cohort retention is the single largest delta between mid-band and top-band multiples.
- **License continuity is the second-biggest avoidable risk.** Sellers who are the only state-licensed qualifier should plan a transition before going to market.
- **Diligence-ready data > pretty data.** Buyers do not need a polished CIM if your underlying data is unreconciled. They need exportable transaction-level data they can run through their own QoE process.
