# Plumbing Exit Checklist: 12-Month Roadmap to Sale (2026)

This is the operating checklist we run with plumbing owners 12 months before going to market. The objective of this list is not "hit every box." It is to identify the three to five items where 12 months of focused effort delivers a measurable multiple step. The highest-impact items in each section are listed first.

## 12 months out: financial-records hygiene

- **Migrate to ServiceTitan, Housecall Pro, or FieldEdge** if you are still on spreadsheets or homegrown software. Buyers expect SQL-exportable data on customer history, recurring-agreement waterfall, average ticket, and revenue per technician.
- **Engage a Quality of Earnings (QoE) firm** (Aprio, Eide Bailly, or any boutique PE-experienced QoE practice) to produce a sell-side QoE report 6 to 9 months before going to market.
- **Move from cash-basis to accrual-basis accounting** if you have not already. Most institutional buyers will not accept cash-basis financials.
- **Standardize the chart of accounts** so revenue is segmented by category: residential service, residential install/replacement, commercial service, commercial new-construction, multifamily property-management, recurring service agreements.
- **Reconcile every bank account.** Eliminate unreconciled items. Document any owner-payable or owner-receivable balances.
- **Engage an M&A tax advisor.** This is the single most under-utilized 12-month investment. After-tax proceeds can swing 5 to 15% based on entity structure and pre-close planning.

## 12 months out: recurring service-agreement program

This is one of the largest multiple levers. Plumbing has lower native recurring revenue than HVAC or pest control because most demand is event-driven, but operators with documented service-agreement programs above 20% recurring revenue see 0.5 to 1.0x higher multiples than peers without them.

- **Service-agreement waterfall.** For each of the past 24 to 36 months: starting active agreements, new agreements signed, churned, ending active.
- **Customer-cohort retention analysis.** Group recurring customers by acquisition year. Show retention rate and revenue per customer per cohort.
- **Auto-renewal language audit.** Confirm contract language is enforceable. Some legacy agreements have no auto-renew clause and are technically year-to-year manual renewals.
- **Service-agreement product lineup.** Document the products you offer (annual drain inspection, water-quality testing, water-heater maintenance, sewer-line warranty, fixture-replacement program). Standardize pricing.
- **Payment-method mix.** ACH/auto-charge vs. invoice-and-check. Higher auto-charge percentage protects retention metrics.
- **Attach-rate trend.** What percentage of one-time service customers are converted to a recurring agreement? Top operators run >25% attach.

## 9 months out: licensing and regulatory (the plumbing-specific risk)

Plumbing licensing has higher transaction friction than other home-services trades because of the company-designated master-plumber requirement.

- **License continuity plan.** Most states require the company to designate a Responsible Master Plumber (RMP) or equivalent. If the seller is the only company-designated RMP, plan a transition. Three options:
  1. **Existing employed RMP designation.** If you already employ a master plumber, document their credentials and consider promoting them to RMP designate.
  2. **Sponsor a journeyman to master.** A 12-month timeline supports the apprenticeship + exam pathway in most states.
  3. **Buyer-side RMP designation.** PE platforms with existing operations in your state can re-designate an internal RMP, but this should be confirmed pre-LOI.
- **Texas-specific requirements.** Per the [Texas State Board of Plumbing Examiners](https://tsbpe.texas.gov/license-types/responsible-master-plumber/), the RMP designation requires: a current Master Plumber license, a signed Certificate of Insurance from an authorized insurance agent, and a $225 fee.
- **Workers' comp X-Mod review.** A clean experience modifier (under 1.0) is a small multiple lift. Above 1.2 is a flag.
- **OSHA citation history.** Document any citations in the past 5 years and remediation taken.
- **DOT compliance** for fleet over 10,001 lbs gross vehicle weight.

## 9 months out: technician and management depth

Buyers underwrite the team almost as heavily as the financials. Plumbers, pipefitters, and steamfitters earned a median annual wage of **$62,970 in May 2024** ([BLS Occupational Outlook Handbook](https://www.bls.gov/ooh/construction-and-extraction/plumbers-pipefitters-and-steamfitters.htm)). The labor market is structurally tight.

- **General manager or operations lead in place.** A non-owner GM running day-to-day removes key-person risk.
- **Field-supervisor depth.** Minimum 1 supervisor per 6 to 8 technicians for service operations.
- **Documented technician training program.** Onboarding checklists, ride-along protocols, journeyman / master-plumber certification milestones.
- **Compensation transparency.** Hourly + commission structure documented in the employee handbook. For service operators, document any spiff / commission programs on water-heater and re-pipe sales.
- **W-2 vs. 1099 mix.** Most plumbing technicians should be W-2. A heavy 1099 mix invites IRS reclassification risk in diligence.
- **Average tenure schedule.** Headcount table by department with start dates. Target retention >85% on field staff and >90% on master plumbers.

## 6 months out: operational data and KPIs

Buyers benchmark plumbing operators on a tight set of operational KPIs:

- **Revenue per service technician.** Target $600K+ for residential platform-quality.
- **Average ticket.** Target $750+ on residential service.
- **Service-call dispatch density.** Stops per technician hour, miles per stop.
- **First-call close rate** on replacement / re-pipe quote calls. Target 30%+.
- **Service-agreement attach rate** on new customer acquisition. Target 25%+.
- **Capacity utilization.** What percentage of technician capacity is currently filled? Buyers pay more when there is organic growth runway in existing routes.
- **Truck and equipment audit.** Documented fleet maintenance schedule, fleet age profile, planned capex (camera fleet, locator equipment, hydro-jet equipment).
- **Permit-pull volume by category.** Residential vs. commercial vs. multifamily. This is a useful proxy for revenue-mix verification.

## 6 months out: revenue concentration and customer mix

- **Top-10 customer concentration.** Above 15% is a flag; above 25% is a meaningful multiple discount. This is most often a commercial / multifamily property-management concentration issue.
- **Geographic concentration.** Revenue by ZIP / county / metro. Buyers prefer balanced concentration over a single-county business.
- **Channel mix.** Direct organic, Google Local Service Ads, Angi, retail partnerships, multifamily property-management partnerships.
- **Lead-source concentration.** Diversification protects the multiple.
- **Service vs. install vs. new-construction mix.** Service-led shops trade higher.
- **Multifamily / commercial property-management customer audit.** Multi-year master service agreements with multifamily portfolios are valuable. Year-to-year informal arrangements are not.

## 3 months out: deal-prep and management presentation

- **Confidential information memorandum (CIM).** Drafted by your sell-side advisor. Include the recurring-agreement waterfall, cohort analysis, service-area density data, technician roster (with master-plumber breakdown), and management-team profile.
- **Management presentation deck.** Slides for management meetings with shortlisted buyers. Include growth strategy, capex plan, and integration philosophy.
- **Anonymized teaser.** One-page summary distributable to buyers under NDA. Used to filter the universe before disclosing identity.
- **Buyer list.** Validated against our [plumbing buyer list](/resources/plumbing-buyer-list).
- **Insurance review.** General liability, professional liability, auto, workers' comp - confirm policies are renewable and properly bound. Pollution liability for sewer/drain operators.

## At LOI signing: diligence preparation

When the buyer signs an LOI, the diligence sprint begins. The full request list is in our [plumbing due diligence checklist](/resources/plumbing-due-diligence-checklist), but the key documents to have queued and ready:

- Last 3 fiscal years of financial statements + interim YTD
- Sell-side QoE report
- Customer schedule with revenue, tenure, and category
- Master-plumber and journeyman roster with license details
- Lease agreements for all locations and yards
- Top-25 commercial / multifamily contracts
- Insurance certificates
- HR file: handbook, comp plan, organizational chart

## Trade-specific operating leverage to capture

Three plumbing-specific operating-improvement plays we have seen execute in 12 months and lift the multiple:

1. **Move to a tier-priced service offering.** Most plumbing shops still quote a flat hourly rate. Buyers pay a premium for shops on a published-tier (Bronze / Silver / Gold) model with menu-based pricing. The conversion lifts average ticket 15 to 25% with no demand-elasticity hit.
2. **Build a water-heater replacement program.** Water heater replacement is the single highest-margin one-time service in residential plumbing. Documented capture rate (the percentage of water-heater service calls that convert to replacement) above 35% is a platform signal.
3. **Multifamily property-management portfolio acquisition.** Sign multi-year master service agreements with 3 to 5 large multifamily property managers. The recurring revenue alone moves the multiple, and the work itself is high-utilization for the technician roster.

## The clean takeaway

- **The 12-month checklist is mostly about recurring revenue and license continuity.** A book at 25%+ recurring agreements with a documented RMP transition is the single largest delta between mid-band and top-band multiples.
- **License continuity is the second-biggest avoidable risk.** Sellers who are the only company-designated RMP should plan a transition before going to market.
- **Diligence-ready data > pretty data.** Buyers do not need a polished CIM if your underlying data is unreconciled.
