### Integration approach
**More aggressive than Apex.** Wrench typically rebrands acquired operations under its umbrella over 12 to 24 months, with deeper operational integration. Sellers should expect more change to the acquired entity than under an Apex integration.

### How to position for Wrench
- **Scale.** Wrench writes fewer, larger checks. Sub-$5M-revenue businesses are rarely a fit.
- **Mature operating structure.** Documented SOPs, established management team, multi-location footprint.
- **Existing geographic adjacency.** Wrench builds geographic density rather than national footprint expansion in any given year.

## Roto-Rooter (Chemed Corporation, NYSE: CHE)

Until the divestiture is complete, Roto-Rooter remains an active acquirer of complementary residential plumbing operations and franchise territories. Sellers in metros where Roto-Rooter still operates a franchise should explore the possibility of a franchise-territory acquisition, which is structurally cleaner than an outright corporate acquisition.

Post-divestiture (assuming the transaction completes in 2026 or 2027), Roto-Rooter will likely continue as an active acquirer under new ownership. The brand, service-density advantage in urban metros, and call-center infrastructure make it one of the most defensible residential-plumbing assets in the country.

## Comfort Systems USA (NYSE: FIX)

- **Geography:** national, with concentration in major metros where Limbach already has a footprint

## Sila Services (Goldman Sachs)

Multi-trade home-services platform with strong Northeast / Mid-Atlantic / Midwest concentration. ## How to think about positioning across the strategics

A few cross-strategic observations:

1. **Apex generally pays the most for tri-trade residential operators in the $5M to $50M range** with strong service-agreement and water-heater attach rates.
2. **Wrench pays the most for larger, mature platforms ($25M+ revenue)** with multi-decade operating histories.
3. **Roto-Rooter (during the current transition) is the cleanest fit for franchise-territory acquisitions** in metros where they currently operate.
4. **Comfort Systems USA is the cleanest fit for commercial mechanical contractors** with data-center or mission-critical-building exposure.
5. **Limbach is the cleanest fit for maintenance-led commercial mechanical operators** in major metros.
6. **Sila is the cleanest fit for established residential operators in the Northeast / Mid-Atlantic / Midwest**.
7. **Sterling Group is the cleanest fit for Texas residential new-construction-led plumbing operators**.

## What strategic buyers will not pay top dollar for

- **Sub-10% recurring service-agreement revenue mix.** Strategics value the recurring book heavily; a pure-event-driven shop is a financial-buyer asset.
- **Heavy 1099 technician classification.** Reclassification risk is priced into the offer or escrowed.
- **Customer concentration above 25%.** A single national chain account or large multifamily portfolio walking is a category-killer.
- **Active license-violation history.** Old, remediated violations are okay; open issues are deal-killers.
- **Owner-only company-designated RMP.** Especially in Texas, where the RMP designation requirement is strict and re-designation takes meaningful time.
- **Pollution-liability exposure (sewer / drain operators).** Old, unremediated incidents are deal-killers.
